With the establishment and development of socialist market economic system and the rapid progress of the industrial modernization, coal industry, serving as the pillar industry in the national economy, is facing great difficulties. The new power industry such as hydroelectric power and nuclear power springs up; the coal resources are exhausting; the production and application of coals have caused great environmental pollution; state-owned coal mines feature large number of employees and low efficiency. All the factors mentioned above have severely hold back the sustainable development of national coal industry. Therefore, development of non-coal industry and re-establishment of the diversification in the state-owned enterprises are essential for the state-owned coal mines to get out of financial difficulties. However, in the past thirty years, the diversification in the state-owned coal mines has been restricted by many factors such as history, ideology and economic environment. Therefore, many enterprises still fail to locate a scientific system of management. But as the market economy poses great threat to most enterprises, it is urgent for the enterprises to pursue a scientific system of management. The thesis analyzes the development of Baguanhe Diversification Company affiliated with Cleaning Coal Company of Panzhihua Coal Group. It introduces the status quo of the company, presents a series of problems faced by the company, and finally puts forward a new model (employment, benefits and development) for the re-establishment and development of the Cleaning Coal Diversification Company. The new model (employment, benefits and development) embodies following aspects. First, in order to improve economic results, the company is divided into three different entities, which follows different guidance and management. Second, the model follows a reasonable process: development---benefits---decline, once again another circle of development---benefits---decline. The process can promote the sustainable development and economic growth. Third, the model is transforming the Baguanhe Diversification Company into a modern enterprise, which will eventually lead to the establishment of a limited liability company. Fourth, the application of the model must be based on three principals---suitable measures to local conditions, constant progress, different management. The elaboration on the new model (employment, benefits and development) enables the thesis to draw the following conclusion. First, ameliorating property rights relations and management relations form the basis of the model. Therefore, property rights relations should be clearly defined, and the administrative intervention should be avoided. The board of directors can take part in the decision-making activities and the management. Second, the entities of the three categories should take different management strategies. As to the entity featuring employment, cost management should be emphasized in order to balance its losses and benefits. Gradually, entities of this category will die out. As to the entity featuring benefits, more funds should be raised to promote the diversification of the company. As to the entity featuring development, investment should help the entity transform into the entity featuring benefits. The thesis put forward the new model (employment, benefits and development) on the basis of the history and status quo of the Baguanhe Diversification Company. However, the diversification of many state-owned coal mines are similar to that of the Cleaning Coal Company. Therefore, this model can be widely applied to the re-establishment and development of diversification in such state-owned coal mines.
