| The Third Plenary Session of CCP's fourteenth commission clearly brought forward the key, to reform in state-owned enterprises, is innovation which means to establish modern enterprise system based on the form of companies. With the development of socialism market economy in China and China's entry into WTO in sight, China National Petroleum Corporation (CNPC), according to the State Council, divided in October-1999 into two parts. One is the biggest Joint Stock Limited Company in China and issued abroad successfully, the other is at the stake of how to survive and how to develop. Chuanzhong Oil&Gas E&P Co.(COG) third affiliate of CNPC is non-legal person enterprise and runs under the leadership of Sichuan Petroleum Administration (SPA). Regarding the changing business environment, shrinking business scope and narrowing the channel of earning, this article gives some references and suggestions for further reform in non-listed petroleum enterprise through the study that how to survive, develop, and continue to deepen reshuffle in the enterprise.This article consists of six parts. The first part is the history and business status before the reform, through this part we can understand the special characteristics of business in petroleum industry. The second part is the business scale of COG and comparison of status before and after the reform. This part also analyzes the changes and problems existing in running. Meanwhile the necessity and importance of further reshuffle are pointed out. The third part discusses the continuous adjustments and achievements obtained by COG with the changes in business-structure in 2000. The fourth part analyzes that through continuous adjustment some achievements are reached but there still exists some problems, mainly discusses that COG's continuous adjustment hasn't changed the root of old mechanism that prevents enterprises against further development. The fifth part discusses the property right and establishment of modern enterprise system, and brings forward the concrete options and precautions about COG's sharing reform and continuous reshuffle while analyzing the internal advantages and external opportunities. The sixth part is the experience got from COG's sharing reform..This article shows the development of China's economy through examples from concrete enterprises,though the enterprise reform underground various channels, those reforms have not removed unreasonable property right rules the main obstacle elements from the path of enterprise development. To restructure and establish new enterprise property system, called by the CCPC, is to establish modern enterprise system. While adjusting and reforming, enterprises should get support from state and upper administrations, and should get necessary space for surviving and developing powerful-backed by policies.The first part describes the history of COG. Due to every enterprise have their own and different background of development, the production organization and management are various. Even though experienced three time of reform, COG is still the second affiliate of SPA in which planed economy takes the guiding place of business. Before reform, COG has the ability to run and develop.The second part, by the business scale after reform compared with that before reform, analyzes the divisions, staff by 6:4 and property by 2:8, cause series of dramatic changes in revenue and business structure and cause huge difficulty to COG and threw COG into living crises.
