Now, being the users of knowledge, people have become one of the most important capitals for success of a company, and effective management of human resource will be one of the ultimate determinants of the businesses competition. Therefore, how to build a knowledge-oriented human resource system and appropriate culture that are suitable for knowledge management, has become one of the most important issues for modern companies.The paper firstly compares the practices of human resource management system in native and foreign business, and discusses deeply the characteristics of organization innovation model, then provide the strategies of constructing human resources development and management system in State-owned enterprise (SOEs): firstly, strengthen the innovation of human resources management in knowledge-oriented SOEs, and establish "knowledge management" idea, secondly, with the leading of knowledge capital, take measures on human resource management strategic, thirdly, establish and improve the mechanism on recruiting, training and reward, emphasize training employee and developing leaders.Aiming at the phenomena of human resources lost in SOEs, providing several suggestions: firstly, emphasize the management based on people, reconstruct the company culture, Then, enlarge the training of staff to stimulate the use of internal talented person, thirdly, establish the mechanism of retaining people with "undertaking, sensibility, reward", finally, improve continuously the human resource management system.
