The state-owed enterprises reform is the center of the economic structure reform in china, The 16th NPC drew up an important plan to make further reform about state-owed enterprises. Both an enterprise development and reform depend on people, so great importance must be attached to the reform of the inner human resource institutions. Directed by the spirit of the 16th NPC, the paper analyzes the present condition , the main problems and the causes of the state-owed enterprises. Referring to the fine experiences of the transnational corporations, the paper make a detailed discussion on how to do well the state-owed enterprise human development and management and then put forward the corresponding methods to serve the state-owed enterprises reform. From beginning to end the paper circles round the viewpoints that human resource is the first resource and human resource development and management strategy is the first strategy in an enterprise. It mainly expounds the following countermeasures: sorting out the relationship of property rights, optimizing the human resource structure; reforming the appointment constitution about the person in charge , setting up the manager's markets; investing much more money, developing the human resource systematically; establishing performance appraisal system, checking the working achievements scientifically; building the high efficient encouragement mechanisms, activating the human resource in all-round way; cultivating excellent enterprise culture, increasing the cohesion and the centripetal force. With the developing of economy globalization, the competition among enterprises are getting more and more heated. In the final analysis it is the competition for talents. Whoever cultivate and absorb a lot of talents can win the competition at last. On the aspect of human resource development and management the state-owed enterprises must adhere to the principle of humanism, combing the individual needs with enterprise future, establishing a scientific human resource development and management system, fully arousing every employer's enthusiasm and creativity, utterly changing the backward ideas and practice of personnel management, cultivating large number of talents through the systematic development and scientific management, finally raising the state-owed enterprise competitive power in all-round way to meet the future challenge in the world.
