Virtual Corporate Governance Research

The virtual enterprise is a new form of enterprise organization, which adapts to the rapid development of information technology and the tendency of economic globalization. More and more enterprises select this new form of enterprise organization for the reason that it can improve the success of technological innovation by combining the advantages of resources within different enterprises. How to coordinate the relationships among the members of virtual enterprise is the key fact to operate virtual enterprise efficiently. This question belongs to the content of corporate governance. The virtual enterprise has broken the traditional boundary of the enterprise and challenged the traditional corporate governance, which focuses on internal governance and coordination. The external coordination is far more important than the internal coordination for the member of virtual enterprise. The core of virtual enterprise governance has changed. At the same time, the goal of virtual enterprise governance has changed from individual decision to co-innovation of members. And the category of virtual enterprise governance systems has also changed. This paper proposes that the virtual enterprise governance systems should include co-governance pattern, a dynamic and multiple governance structure, and corporate governance mechanism that formed by treaty, trust, communication, reputation, and code of ethics, and the systems operate effectually on the platform of corporate governance information systems.
