Taking Z Company, which has just finished its transformation from a state-owned enterprise to a private one, as an example, this thesis analyzes its operation situation, management situation, company structure as well as its strategy for the past three years from 2002 to 2004. By a thorough and careful examination of the industry to which Z Company belongs and the interior resources and capability of the company, the author, with the help of his own knowledge and managerial experience, has discerned the problems in strategy, organizational structure, human resources management and business portfolio. Also, the author provides several proposals to solve these problems. This thesis mainly focuses on the idea that the strategy of a company is a systematic solution proposal. May this idea can be of help for the small- and medium-sized companies.This thesis is divided into four parts. In the first part, it introduces the history and operation situation of Z Company and points out many puzzles in the company. In the second part, by a thorough analysis of its external environment, internal environment and product portfolio, the author finds the problems and their reasons. The third part redesigns its transformation strategy for Z Company and makes specific strategic proposal. In the last part of the thesis, it designs related supportive system for the implementation of the strategy proposals mentioned above.
