With market economical acceleration of China, specially entering WTO, the state-owned enterprises will face more furious competition. Whether the company can retain and allure persons with ability successfully or not is the key to win the competition. The Brain-Drain problem of Haerbin Railway Machine and Engineer Company (HRE&TC) is quite strictness .To solve the problem needs to build a suit of rational prompting mechanism and measures.Firstly, in the article, human capital's concept, character and the difference from general human resource were expatiated. In the second part, the human resource and Brain-Drain situation of HRE&TC were introduced and the affection of Brain-Drain problem to the company was explained. Thirdly, the thesis designed questionnaire according to HRE&TC's Brain-Drain problem's character ,analyzed the investigation's result and educed the key cause of the problems. Lastly, in basis of problems and correlation theory , the thesis put forward "establishing nicety and normal duty introduction" , "composing competitive salary system" ,which maximumly helped HRE&TC retain and allure persons with ability and made them do their best to work., the measures would protect HRE&TC from Brain-Drain problem and effectively help the company live better and run healthily.Statistics and organizational behavior, management psychology were used in the thesis. Emphatically analyzed the reason of Brain-Drain problem from the company's actuality and put forward countermeasures, which had better reference and direction value.
