In this paper, the author studies and deduces at macro-level in theory, by means of the analytical framework and theoretical tools of new institutional economics, the structure, functions and environment of National Vocational Qualifications (NVQ) , the interrelations between NVQ and its six environmental factors of the state, economy, enterprises, labors, knowledge & technology and the ideology, and the innovation and change of institutions of NVQ. Based on the deduction, research are carried out into the innovation mode and changing direction of the Chinese institutions of NVQ.The NVQ structure is a systematic one made up of a series of formal and informal rules or constrains. Being an open system, the structure continuously exchanges matter, energy and information with environment, which is composed of the six factors. The changes of institutional environment factors and the non-equilibrium development of the institutional system itself inevitably result in the innovation and change of institutions of NVQ.In the institutional environment of economic transition and social transformation, the reality Chinese institutions of NVQ are faced to their ways of operation and changing. A combination of macro compulsory way with micro induced way is an ideal way of innovating Chinese institutions of NVQ; state-guided marketization is the basic direction of the institutional change in China.Finely, the author gives the measures that the state should take in the construction of the NVQ.The article is focused on theoretical analysis, consisting of three parts: Introduction, Deduction and Application.
