The college run by the university-enterprise cooperation is born from the development of the socialism market economy and is the result of educational institution reforms. This is also the important means for higher education to adapt to the market. Its appearance does good to satisfy diversified educational requirements of people. It is good for the joint development of university and enterprise. It helps to ensure a clear purpose in cultivating the talents, so there are the possibility and necessity of its survival. On the basis of the ex-research, as well as the connective laws, the present thesis analyses some problems in the course of the university-enterprise cooperation.Starting with the current situation of the college run by the university-enterprise cooperation, the thesis compares the particularities among different patterns of cooperation. It attaches great importance to the college and sums up four management principals that the college should abide by. Based on that, the research reveals the problems existing in them from the step controls, the organizations, the property rights and the fair repayment. Finally, according to the responsibilities and duties for three sides, the thesis puts forward to some constructive suggestions in order to look for the tactics in the deeper development of the enterprise-school cooperation.
