With the rapid development of the information technology, there has been a great change in the pattern of corporation competition since 1980s. Instead of traditional single-competition, they prone to choose co-operation competition, as a result, the strategic alliance between multi-national companies and their opponents became more and more popular. The strategic alliances provide a wider space for the knowledge transfer between the partners, and the alliances members are also expect the improvement of their study and innovation capabilities.This article studies the knowledge transfer in the strategic alliances, which is the intercross of strategic alliance and KM (knowledge management). The main object of this article is to provide efifective principal instructions for modern companies that take part in global competitions.In this article, we retrospect the previous articles at first, and then analyzed the knowledge in the strategic alliance, we got the main framework for the study. There are two main steps for the knowledge transfer, one is knowledge sharing, the other is knowledge absorbing. About knowledge sharing, we used game theory to prove that knowledge sharing is a Nash Equilibrium that can last forever; about knowledge absorbing, we analyzed the main obstacles from the alliance partners, the knowledge itself, and study habits of the company, we also analyzed the case of TD-SCDMA industry alliance in China, As a result, we set up a mechanism for knowledge transfer, which is the main achievement of this paper.The main innovations of this article include: we studied the knowledge transferring between the enterprises in strategic alliance, not between humans, which is a unique view; It is new that game theory was used to analyze the enterprises' knowledge sharing; there are three aspect (partner, knowledge and the enterprise itself) which affect the knowledge absorbing, this result is more comprehensive; and finally an knowledge transfer mechanism was set up, which is the most important conclusion.
