With the establishment and the perfection of the socialist marketeconomic system, our country is in a big social transition which fromthe planned economy to the market economy. And that will cause thestructural change of the whole society. With the development ofeconomic reform, the traditional culture, values and life style are beingchanged. Also business ethics is changed along with the alteration ofinterest subject. Some enterprises compete with each other in marketaiming at maximum of profit. Non-moral behavior of them come to lightsuch as manufacturing fake or poor quality commodities, editing falseadvertisements, wasting resources and the discharge of industrial waste .In the beginning of economic reform, the deficiency of businessethics reflects the imperfectness of ethical norms .According to that, theconcept of "stakeholders" is introduced. The paper wants to comment onthe theory of stakeholders in the view of Marxism's axiology ,in order todevelop the designing of business ethical norms. The western scholarsalways define stakeholders on the base of the property rights theory andthe contract theory. But it can't solve several problems such as 'how tocatch on the objectivity of stakeholders' and 'what is the principle insolving contradictory among stakeholders'. The paper puts forward thatthe Marxism's theory of 'human nature and value' and the moral principleof 'true collectivism' can be the base of stakeholders theory on the view-angle of axiology. It also attempt to find new research topics which come from the challenge of real life and theoretical research.In this paper, we give the concept and connotations of business ethics at first, and introduce the practice and the study in this field at home and abroad. Then we inquire into the practical significance of business ethics research. By all these work, the concept of stakeholders and corporate social responsibility are introduced. We point out the relations between stakeholders and business ethics on the base of taking corporate social responsibility as the bridge.In Chapter II, the reason why the author chose to research the construction of business ethics during the period of transition in our country is analyzed. We firstly give a review of stakeholders theory, and then research the theory in the view of Marxism's axiology. On account of those, we come up with two new viewpoints. One is that the theory of Marx's "human nature and value" is the philosophical basis of stakeholders theory; the other one is that the moral principle of "true collectivism" can be the appropriate values for the theory.We take stakeholders theory into practice in ChapterIII and IV. In Chapter III, the dislocation of corporate value in the period of transition is pointed. The problems of corporation in ethics are discussed in detail including of the generation and performance. The last chapter is theresearch of system construction. Reflections are made on the problems in business ethics. Besides Marxism's axiology and analysis method, the traditional ethics of Confucian school and the experiences of developed country both make important parts in author's research. The author hopes that the business ethic norms which are based on the "interest conspiracy" can make further contribution to the establishment and the development of harmonious society.
