Presently, there are many problems in our universities reform and development. Generally speaking, all kinds of power are imbalance in the universities, Specifically, those problems exist in inside of universities governance structure are the power and obligations between secretary of the party and principal defined unclearly, academic and administrative powers are unbalance, the power of teacher and students are not awarded. The fundamental reason is unreasonable of universities governance structure. The benefit contradictory of various university interior benefits main body extrude day after day which is flooding between each kind of right struggle. It not only seriously affects the efficiency and quality of teaching researching and community service in universities but also limits the development of universities. In this situation our country is studying how to establish and perfect modern university governing structure balance each kind of social strength and manifests each kind of social benefit becomes a hot spot in the academic circle.But now there are still many problems in the reform on institution of board of directors and professor governance academic. Firstly, there are unclear of institution of board of directors on status in the reform on institution of board of directors, function dissimilation, and lack of legal basis. Secondly, in the reform on professor governance academic, the power of professor is not enough and academic power and administrative are unbalance. Above problems effect and control the results of inside of universities governance structure on reform. Inside of universities governance structure is a complex and systemic, its success depends on the measure of universities reform, law, education system and social circumstance. So, after illustrating the reform dilemma of internal governance structure in universities, according for government, social and universities, this article analysis the reasons for the difficulty environment. Based on above, according principle-agent theory and game theory, through resorting to experience of internal governance structure in foreign colleges and universities, this article propose some suggestions to further perfect internal of governance structure in universities.
