With the development of the society, the internal and external environment of high school has undergone tremendous changes, and the expectations from the society and the public for high school are getting higher and higher. In order to adapt to the change of social environment, and respond the requirements of education from government, family,teachers and students, high school must continue to reforming and exploring a suitable management system for school development, improving the level of school management,and promoting the stable development of the school. So the research on the governance structure is significant and meaningful. A healthy and scientific governance system is an institutional guarantee for the sustainable development of high schools in our country, is an inevitable choice to improve the development ability and running efficiency of these schools, and is also an inevitable requirement for deepening the reform of high schools.Adopting the methods of literature analysis and interview, with D city's high school as the research object, and basing on the theory of stakeholders, this study is trying to introduce the overall situation of the D city high school,analyze the current problems and its roots, and find the solution.This paper analyzes the problems in the governance structure of high school in D city of Henan province, including the government centralized management, which is difficult to fundamentally change, the poor functioning of the government departments,the difficulty in guaranteeing the autonomy of school running, the difficulty in expressing the demands of community, the lack of supervision of internal Party organization, the limited channel for the teachers to share the right of governing, the difficulty of students to participating in the management.From the research, we can find that the deep reason of defects in governance structure lies in the relative lag of governance idea, the complexity of system change and the imperfect of policies and laws. In the last part, the author puts forward some suggestions respectively to improve and perfect the situation. In particular, it can be co-optimized from two aspects. From the perspective of external governance structure, it is necessary to construct a new system of government administration, school sponsorship and social evaluation; to establish a new cooperative relationship in the school governance of relevant government departments; and to make the channels of participating in school governance available for community to express demands. From the view of internal governance structure, we should speed up the building of the school constitutions to provide an institutional basis for the optimization of school governance structure; improve the principals responsibility system,clear the responsibility of principals, and earnestly implement the autonomy of the school principals; strengthen the supervision of Party organizations and build a complete internal supervision system;establish and improve the Faculty congress, constructing the incentive mechanism of teachers' participation in governance; and strengthen the construction of student union to provide a variety of governance ways for students.
