As Shanghai financing structure plays a critical role in Shanghai’s constructionof an international financial center and the nation’s going-out strategy，they arefacing to the huge competition and challenges. It’s very important to change theprofessional management skills with development of financial market and industrytrends. At the same time, because of economic situation at China and abroadcomplex and full of uncertainty, financial business development is facing greatchallenges. Financial Holding Group as a creative financial organization model inseparate operation innovation environment, To establish a scientific and reasonable,efficient relationship in corporate governance structure is the core competitivenessof financial holding company which is a prominent problem for the financialcompanies in China.According to the State Council on accelerating the deployment of the overallstrategy of the construction of Shanghai international financial center and Shanghaifinancial state-owned enterprises reform requirements, Shanghai Governmentmade the clear indication on Shanghai International Group for strategic positioningcontrol of financial investment group in2009. With the implementation of amulti-development strategy, the company’s existing governance mode is exposed inmanagement problems that hinder the development of enterprises greatly. As for,Exploration of the mode of the corporate governance structure of financial holdinggroup, the construction of Shanghai International Group Corporation governancestructure scheme and model of Shanghai International Group, is the solidfoundation for the development of key energy level, enhance the comprehensiveenterprise, has the extremely important practical significance and application value.Firstly, I introduce the research background, significance, research status at Chinaand abroad. After that, I introduce the basic concepts of financial holding companyand the corporate governance structure. I also give financial holding company’ssocial value in the corporate governance structure by summarizing of the UnitedStates of America, Britain experience and the OECD criterion,.Secondly, by the models of governance structure in the United States ofAmerica、 German and Japan and the experiences in corporate governancestructure of GE, HP, DuPontand and other large enterprises, I give the specificrecommendations and measures to implement the system construction of thecorporate governance structure in Shanghai International Group.At last, this article summarizes the work, points out the deficiency, and the next stepfor the future. In the analysis process, I used the literature collection method to analyze thegovernance mechanism research achievements at China and abroad; used caseanalysis method to analyze the mode of practice and experiences of typicalcountries and major national Enterprise Inc legal person governance structure;used the field research method to analyze the current situation of the corporategovernance structure in Shanghai International Group.
