In the age of globalization, it has become a necessity to expand exchanges and cooperation of international market for IT and high-tech business has been operated rapidly. With the improvement of bidding and tendering market, the translation market of commercial tender documents is also increasingly expanded. Tender documents are essentially a commercial contract with a legal binding stipulating mutual rights, duties and responsibilities.First, Skopos theory is the most important one of Functionalist Approach. Based on this, Skopos, which translation action will achieve, is the dominant rule deciding all translation actions and decides the process of this action, that is, the result decides what methods should be used. Second, the thesis applies functionalist dominant Skopos theory to analyze Chinese-English translation of bidding documents, which extends the application of functionalist approach, analyzes translation purpose and text function. In order to better serve translation Skopos, translator should take the three rules of Skopos theory(Skopos rule, coherence rule and fidelity rule) criteria to integrate text style, sentences with terms translation during the translation of bidding documents and bidding.Traditionally, most of legal translation are based on linguistics and stress the "equivalence" between Source Language and Target Language. Legal translation is simply regarded as a kind of code switching centered on SL. However, based on the German functionalist translation theory, the paper takes a top-down approach centering on TT to study language features and text function in the document and shows two major expected functions(informative function and appellative function) to stress the translation purpose of the document. Besides, it also sums up some professional vocabularies and language rules to help personnel engaged in international projects to accurately grasp connotation and characteristics of a bidding document, to avoid trouble misunderstanding, to engage in international communication and cooperation better.
