Co-development of commercial housing is one of the important forms of the real estate co-exploitation. It plays an important role in integrating resources, funds and other factors; it also promotes the development of the real estate market. With the rapid development of rea l estate industry and the increase of individual demand for housing, disputes between the real estate sector and the third person are produced in great quantities, but researches on the norms and principles of dealing with the disputes are not enough.Through analysis of a commercial housing sale dispute cases, combining with related theories, this paper clarifies the main body of Co-development of commercial housing and methods of bearing liability, and puts forward the preventing and dealing measures. The first part of this article mainly states the basic facts, and sums up two focuses of dispute. The second part discusses the focus dispute of the case. Firstly, it analyzes the meaning, trait, typology and nature of Co-development of commercial housing, re aching a conclusion that A company and B company belong to the partnership of cooperative developing commercial relationship. Then, it analyzes the responsibility to Mr. Zeng of A company and B company, reaching a conclusion that A company and B company shall also undertake joint liability to Mr. Zeng, and the B company owes a duty to Mr. Zeng for the delivery of building. The third part analyzes status quo of handling the disputes between the main body of Co-development of commercial housing and the third person, and puts forward some suggestions for preventing and dealing with such disputes of the author herself.
