This article take method of the review about knowledge and case study of " intellectualproperty allocation mechanism in innovation cooperation between school and enterprise ofChina ". Take a in-depth research and emphasis on analysis of cooperative innovation.According to the initiator of the classification, the school-enterprise cooperation innovation isdivided into three kinds: enterprise dominant mode, high school and University Spin-offCompany dominant mode.The selections are taken in the East, especially in the emergingindustry in relatively developed areas of Yangtze River Delta, were studied in different modes,the existing domestic cooperation innovation in the process of intellectual property rightallocation. In the context of existing laws and organizational behavior theory, theory ofdistribution, contract theory, as well as the property rights of the evaluated pricing, to discussthe impact of the cooperation initiated the yuan elements of the three modes of propertyownership, the distribution of benefits. And combing and three developed countries of theUnited Kingdom, the United States, Japan School and Enterprise Cooperation Innovation inequity allocation and management. Demonstrate the structure of Chinese Universitiesenterprises industry-university cooperation, patterns and characteristics: different modes ofdomestic experience with the problems of school-enterprise cooperation in intellectualproperty rights allocation (1) the allocation of property rights gap is large;(2) In most cases,cooperation the inconsistent interest objectives;(3) imperfect measures of protection ofintellectual property rights. Refine the foreign school-enterprise cooperation and innovation inintellectual property management experience:(1) University in the school-enterprisecooperation and innovation in the allocation of property rights and gains greater authority;(2) government legislation largely school distribution of cooperative innovation intellectualproperty norms;(3) American OTL intellectual property business model with great success.And summarize and analyze the impact of the distribution of university-industry cooperationand innovation intellectual property law, and to make policy recommendations for ourschool-enterprise cooperation and innovation: Contracting with enterprise when colleges anduniversities should strengthen the awareness of intellectual property protection; vigorouslydevelop the advantages of discipline, and enhance their own level of scientific research;strengthening of intellectual property organization and management system construction, andto raise the overall level of intellectual property management. Enterprises, in the principle ofequality and mutual benefit, cooperation and innovation to provide conditions for theallocation of the interests of democracy, the rule of law and the establishment of the optimizeproperty valuation system. The government should strengthen legislation, perfect policy andregulations, if only for the norms of school-enterprise cooperation achievements propertyrights, can be conducive to the long-term stable development of cooperation between schooland enterprise innovation.
