With the further development of education reform in our country, private education has become an important part of the education system in our country. As the driving force of the survival and development of private education, how to better motivate teachers’teaching and management ability is the issue that school administrators have to face. Under the current context of advocating people-oriented and respecting talent, school management need break the traditional ideas to construct a more scientific and reasonable incentive system of middle school teacher. Based on perspective of psychological contract, this paper tries to analyze the current incentive system of private education teacher.Psychological contract refers to a kind of subjective and implicit psychological commitment of what they should pay out and deserve between organization and employee in employment relation, containing the mutual responsibility, obligation and expectation. In school organization, psychological contract is a psychological ligament connecting school organization and teacher, which put a direct impact on teachers’job performance, job satisfaction and organizational loyalty. Therefore, psychological contract not only plays an important role in incentive management of private teacher, but also has a vital role in improving the teachers’humanized management and teaching quality in private education. In addition, the existing related research materials are mainly concentrating in the form of economical contract. As a group of knowledge talent, teachers usually have ’self-realization’ psychological needs. Therefore, it is necessary to discuss teachers’ incentive management from spiritual point of view.Based on a example of Dongguan’s famous private school, this paper is using questionnaire and depth interview to analyze DFMZ high school sector. The results show that teachers’job satisfaction is low, which mainly reflects in the area of salary, evaluation system, democratic participation management, promotion mechanism, training needs and career development, etc. Therefore, this article uses the theory of the psychological contract research tools to give a quantitative and qualitative analysis of the present school teachers’ incentive system’s problem and the reason for that. In order to perfect private school teachers’ incentive system and realize school’s sustainable development to achieve a win-win situation, this paper reshapes teachers’ incentive system from trading dimension, relationship dimension and development dimension.
