With the increasing development of China’s urbanization, construction sites of the southeast coast and other developed areas are being increasingly tense. At the same time, a large number of farmers are going to urban for employment, and many houses were vacant and homestead land was abandoned. In such cases, a homestead replacement housing policy is started in Shanghai, Jiangsu and other developed areas, saving more than50%of residential land according to the statistics. Although local homestead replacement in some cities has made some achievements, the farmers did not enjoy the benefits. Therefore, this article regard Changshu homestead replacement policy which is currently implemented as a research object, trying to put forward effective countermeasures and suggestions to achieve a win-win situation in which conservation of land and protection of farmers’interests are both concerned.This article first defines the concept of homestead replacement," upstairs " farmers, describes theoretical basis of the paper sort from three aspects-property rights theory, public choice theory,and stakeholder theory. Then, the paper summarizes the role of homestead replacement, and its influencing factors, analyzing the potential of Changshu homestead replacement, basic methods and policies. In this paper, Haiyu Town is used as a case to summarizes the specific implementation details, and being evaluated. This article points out the replacement policy works well in land conservation, the government can also be obtained the index of construction land by the replacement, but the government’s compensation standardsthe is too low, the livelihood security measures are not in place, and the high cost to farmers, are leading the farmers’less enthusiasm to the replacement. By the survey and analysis, the author summarizes the problems and causes of Changshu homestead replacement policy, the paper points out that because of the selfish motives of the government, as well as its more advantages and the " voice" than farmers, the government shows the unfairness and no transparency when designing the policies and allocation of interest, on the other hand,farmers do not have channels to express their interest demands to protect their interests. Meanwhile, by analyzing the interests of the participating subjects of local homestead replacement, such as government, development companies," upstairs " farmers the interests of farmers and other stakeholders analysis, the paper pointed out the main contradiction of replacement is the conflict between " upstairs "farmers and the government,and coordinating the interests of both sides is the key. On this basis, combining with the actual situation in Changshu, the paper suggest from three levels,which are,system, operation and innovative,on optimizing replacement policy:First, we must establish a reasonable policy orientation second is to follow standardized procedures and the scientific method, and the third is to explore innovative thought and approaches.
