In the large background of deepening reform of State-owned Enterprises(SOEs), the mode of state-owned assets entrusted management play an important role in the part of integrating and restructuring the resource of SOEs, enhancing the state-owned assets supervision and administration, promoting the safety and increasing the value of state-owned assets, protect the legal rights of remaining staff.The successful exploration in the mode of SOEs entrusted management in Liaoning province emerged in the first tide of reform in SOEs at the end of last century. It is the government’s innovation and breakthrough to deal with legacy problem with entrusted management mode in recent years. Through effectively implement the mode of entrusted management, the government administration more adjust to basic agencies, to inspire its initiative and creativity. In the key period for the reform of SOEs, to the SOEs that should not be on a wide range of promoting enterprise bankruptcy and acquisition, recombine and flow enterprise assets and other elements maintaining the original property, to optimize the allocation of resources, broaden the introduction of foreign capital, and accrued assets. The SOEs legally obtain reasonable economic returns, at the same time fulfill the social responsibility of management instead of the government. The SOEs arrange for the laid-off workers and provide management services for the remaining staff. The special contribution of trusted management mode in transition period solve the problem of remaining staff and achieve the smooth transition under the government leading.The introduction part, fully explain the research frame of the paper, elaborate the research background, summarize the domestic and foreign theoretical literature about the entrusted management of SOEs remaining staff.In the first part of the main body, it introduce the concept of entrusted management of remaining staff, and also define the remaining staff trusted-managed properties. It systematically describe the mode of state-owned assets entrusted management how to enrich and perfect the theory of socialist market economy connotation. It analyses the necessity of establishing the modern enterprise system in SOEs, the state-owned assets supervision and management system, perfection of corporate governance, and how to deepen the reform of SOEs.In the second part of the text, it introduces current situation of the remaining staff management. Through elaborating the mode of entrusted management to remaining staff, the service way and the type of entrusted management, entirety reflect the achievement and experience of state-owned assets entrusted management obtained from dealing with remaining staff problem. At the same time, compare it with domestic advanced areas and social security system of developed countries.The third part of the body, deeply analyzes the problems existing in the remaining staff entrusted management. And it analyzes the reasons from three aspects—the government absence, social administration and own resource scarcity. And indicate the development direction in the future.The fourth part of the body, is about how to perfect the measures of remaining staff entrusted management. It put forward the countermeasures from three aspects—government adjustment, administration creativity and the society construction. In the three areas we can take corresponding measures—completing the relevant policies and regulations, increasing funding support, scientific cost savings, integrating supervision resources, to achieve perfect social security system, to set up the special aid application system and support vulnerable groups.
