In the era of knowledge economy, the economic value and the social wealth created by human-capital has more than that created by land, capital and other traditional factors of production. The owner of human capital participate in market competition depends on the modern enterprises. Among these, the entrepreneur human capital of bearing high knowledge, high skills, been regarded as the most scarce factors of production for modern society. In view of this, the enterprise should return entrepreneurs consistent with their contribution. However, in our country, state-owned enterprises manager who gained the high salary is more and more strong dissatisfaction with society, which has the sharp contrast with its inefficiency. The chief executives of state-owned enterprises usually has two kinds of roles, who not only enjoy a highly market-oriented salary, but also enjoy the government officials which have high administrative levels. Although the reform of senior executive pay in state-owned enterprises has been in progress, but problems still exists, such as high salary level, salary structure unreasonable, which affects the fairness and justice of the society to a certain extent.Firstly, this paper discuss the connotation and characteristic of the property rights of human capital from the human capital point of view. Secondly, this paper analysis residual rights of control and residual claim which is the most important property relations in the modern enterprise system of property rights. This paper proposed two ways to solve this problem, equity of human capital and human capital market, depend on the definition of entrepreneur human capital and analysis to the property rights of entrepreneur human capital incentive implementation environment. Thirdly, around the problem of salary in state-owned enterprises, whose salary level is too high and salary structure is unreasonable, through the present situation analysis to identify the reasons for the problem, at the same time, learn from foreign executives of state-owned enterprises salary management experience, establish the path of entrepreneur incentive compensation base on the property right of human capital. The core of the path is based on the state-owned enterprise classification, combined with the selection for the different mode of appointment, suggest a difference in human capital property rights incentive theory as the foundation, the nature of the enterprise, and the function of entrepreneur salary mode, in order to control the salary level and salary structure of the state-owned enterprise person and change the current status which lack of long-term incentive salary system and the incentive effect is maximized, while promoting the state-owned enterprise person in charge to change the real entrepreneurs. Finally put forward the optimization path of safeguard measures from the three aspects of external, including perfecting compensation laws and regulations, perfecting entrepreneur market and perfecting securities market.
