After entered the era of knowledge economy, the advantages of the OEM enterprises has not only in the specific tangible assets, but also intangible assets. Companies not only make full use of their advantages in innovation, but also focusing on taking advantage of other enterprises to carry out cooperation innovation, to reduce the process of innovation, to accelerate the speed of innovation. In the process of cooperation innovation between enterprises, OEM enterprises are more focusing on the development of relations, in order to coordinate the development of a common performance goal, to form a relational capital.Base on the existing studies, the article will build a model of relational capital effects on the cooperation innovation performance between OEM enterprise and its customers, and introducing relationship learning as mediation, to do the hypothesis test of the model. Through research, we have conclusions as follow based on the data processing and analysis of109valid questionnaires.(1) Relational capital has positive impact on cooperation innovation performance. The goodwill trust and competence trust, as the two dimensions selected by the paper, have significant positive impact on cooperation innovation performance. The calculative commitment and affective commitment are the two dimensions selected by the paper. The calculative commitment has significant negative impact on cooperation innovation performance, and the affective commitment has significant negative impact on cooperation innovation performance. The affective and cognitive reputation, as the two dimensions selected by the paper, has significant positive impact on cooperation innovation performance.(2) The relationship learning has significant positive impact on cooperation innovation performance. Information sharing, common understanding, relationship memory as three dimensions of relationship learning, has significant positive impact on cooperation innovation performance.(3) The relational capital has significant positive impact on relationship learning. The goodwill trust, competence trust, affective commitment, affective reputation, cognitive reputation has significant positive impact on relationship learning, the calculative commitment has significant negative impact on cooperation innovation performance.(4) The relationship learning plays a incomplete mediation role between relational capital and cooperation innovation performance. Thus, the OEM enterprises can improve the influence of relational capital on the cooperation innovation performance through relationship learning. At last, the paper summarized the research and analysis, giving suggestions to the enterprises management and listed the shortage of the research and future research direction.
