The Reforming And Restructuring Study Of H Power Regulating Company

This thesis selected power regulating H company as the object,H company is a high-techjoint-stock cooperative enterprises which mainly runs a business of mechatronics engineeringand products. During its development, it was blocked by its company structure, operationmode, management system and some other reasons, so the company implemented a series ofmeasures in restructuring and reorganization.This thesis focuses on the reasons of the restructuring and reorganization of H company,combining with the company law and the theory of restructuring and reorganization, analyzingthe process of restructuring and reorganization of H company in detail. The shareholders of Hcompany will reorganize the investors, then change H company from stock cooperative systemto a limited liability company. During restructuring and reorganization, establishing twocompanies, one as cornerstone, the other as supplement. The cornerstone one is the parentcompany which responsible for the acquisition of H company. The supplement one was mainlyused to deal with the capital operation, increased endowment and spread stocks, also attractedoutside investors, during the restructuring and reorganization of H company. Through a seriesof capital operation, the restructuring and reorganization have expanded the scale of the Hcompany. It brings a series of new management ideas, paying attention to technology research,at the same time making market demand related to production and r&d, finally also establisheda incentive system.Based on institutional change, capital raising, capital operation and capital integrationduring process of H company s restructuring and reorganization, we include the successfulexperience and deficiency, and it is very useful and meaningful to other enterprises with thesame type.
