Evaluation Of China’s Strategic Emerging Industries Corporate Governance

Corporate Governance Assessment is an important part of corporate governance. Through the evaluation of corporate governance, on the one hand the interests of investors, creditors and other stakeholders understand thecircumstances of the company’s equity firms, the rationality of the board of directors and supervisory board governance structure, the financial situation of the company’s information and the level of the risk, in order to make scientific investment decision. On the other hand, the managers may also fi nd the loopholes and shortcomings through performance evaluation, and then improve corporate governance.Strategic emerging industries listed companies as a representative of the strategic emerging industries, its governance on behalf of the overall state of the industry. Therefore, it’s necessary to establish an effective strategic emerging industries governance of listed company performance evaluation system for the development of the whole industry.But the study of corporate governance performance evaluation system, our research is in a late starte, less results.Internatinal scholars and research institutions have carried out a large number of management performance evaluation system. There is no specific strategic emerging industries governance of listed company performance evaluation system.For this reason, on the basis of relevant research at home and abroad, combined with strategic emerging industries listed companies we establish a specialized management performance evaluation system for the industry.Taking advantage of the current situation of the evaluation system of corporate governance, we expect to use this evaluation system urge enterprises to improve governance, enhance the competitiveness of enterprises, promote the vigorous development of strategic emerging industries.In this paper, we used the combination of qualitative and quantitative method.First, seek expert advice on the importance of each index by Delphi method and then AHP to determine the weight of each index, the fuzzy evaluation matrix construct the final fuzzy evaluation method.choose dark 24 listed companies in emerging industries of strategic card stock empirical analysis, the completion of the strategic emerging industries corporate governance performance evaluation.Conclusions of this study can be summarized as follows:1. Based on the further study of the strategic emerging industries, the emerging industries of strategic governance of listed companies performance evaluation system was designed specifically. The system includesthe six indexes: the structure of stock right, the governance of Board of Directors and Supervisory Board, financial performance, innovation research, disclosure of equity, risk management. Taken into account its own characteristics, such as high-tech, big business uncertainty, the evaluationof its ability to innovate and risk management indicators were in particular increased. Wherein the main innovation capacity was reflected from the existing number of patents and the ratio of expenditure to operating income. Risk management was responded bythe information of bankruptcy risk management and the credit fileof listed company disclosure by the Stock Exchange.2.In view ofthe voluminous previous evaluations of corporate governance, including the qualitative and quantitative index, here the paper established a corporate governance performance evaluation system, based on the fuzzy comprehensive evaluation method of strategic emerging system. After analyzed by 24 listed companies’ application, the validity of the index system was verified.It was concluded that the current level of emerging industries of strategic governance of listed companies is between moderate and secondary, and the improvementswas proposedaccordingly.
