"Civil society" has long been the source of the term, different interpretations of their respective thinkers at different times. From the perspective of the development of ideas, in Hegel there can be said to be a dividing line, before each thinker his understanding of civil society generally refers to the natural state, civil society and political state is essentially synonymous. To Hegel, he first proposed the concept of civil society in the modern sense, and made a clear distinction between the civil society and the state. Marx's theory of society on the basis of inheritance and public criticism of Hegel's theory of civil society formed. This article mainly discusses the inheritance and transcendence of Hegel's civil society theory from the view of contrast, this will help us to have a more comprehensive and systematic understanding of Hegel and Marx's theory of civil society.This article first from the connotation, the principle and the link three aspects to Hegel's civil society theory has carried on the elaboration, and the relationship between the civil society and the state of Hegel is discussed, it points out that the relationship between civil society and the state is higher than that of the civil society, the state determines the civil society. Then the transition to Hegel's theory of the civil society of Marx inherited this argument, Marx inherited the concept of Hegel's civil society, Marx and Hegel are sure civil society is an area of economic activity, both of them include criticism of the civil society; Marx also inherited the Hegelian civil society and state Dual Construction view, Marx's view of Hegel's separation of civil society from the political state has been fully affirmed, they are in the civil society and state separation to explore the relationship between the two, they also affirm that the contradiction between the individual interests and the common interests is in the relationship between the civil society and the political state; Marx also inherited Hegel's historical methodology, they are based on objective analysis of the civil society to establish their theory, they also affirmed the civil society is a new form of human social development.Marx of Hegel's theory of civil society and it's inheritance has been exceeded, Marx's theory of civil society to transcend Hegel's theory of civil society in:the transcendence of Marx's positive thinking of Hegel's civil society theory; Marx Hegel on the relationship between political state and civil society beyond the historical idealism; Marx's practical materialism of Hegel thinking of transcendental idealism.
