Shareholder Voting System Research

Shareholders' voting rights are the rights of the shareholders to vote at the general meeting of shareholders and the directors,supervisors and so on in the general meeting of shareholders.Shareholders vote and the results of the exercise,and the reasonable distribution of the interests of all parties within the company is closely related to the voting rights of shareholders to become an important means to protect the rights and interests of shareholders,optimize the structure of corporate governance.In our country,the shareholder voting rights system is still in its infancy,although the promulgation of the new "company law" to a certain extent,has achieved a stage of victory,to give the system a great recognition of the voting rights of the shareholders.But at present,protection of the legitimate rights and interests of the shareholders are still frequent,voting disputes have become increasingly prominent,and how to protect the voting rights of shareholders to exercise the voting rights of shareholders to properly handle disputes,to improve the corporate governance structure,which plays an important role to ensure legitimate business and health sustainable development.First of all,based on the basic theory of shareholder voting system as a starting point,which describes the origin of shareholder voting system and subsequent gradual development,analysis of its theoretical basis,nature and classification,then expounds the current company law of our voting system and other normative documents and the research status of legislation etc.and,compared with the general situation of legislation about shareholder voting system of typical countries of continental law system and Anglo American law system analysis,drawing on the experience of two countries shareholders voting system,proposed the establishment of China's voting system in the legislative and judicial practice will have to face the problem.Finally,in view of existing problems of establishment of shareholder voting system in our country and the practice of corporate governance experience,briefly discusses the trend of China's voting system improvement and future development,put forward to establish and perfect the system of shareholder voting rights ideas and concrete opinions,with a view to the future legislative and judicial reality practice urbanization.
