Since long, the internal governance organizations are the core of the management of higher educational institutions. Academic faculties have a long historical tradition to be involved into universities management, no matter in western world or in Japan, a country sharing the similar Asian culture with China. Normally, universities have governance organizations such as education and research council and faculty meeting to manage academic issues and established relevant law and regulation to ensure the effective role play of these organizations.In recent years, the higher education of China has been developing in a fast pace. Chinese government has started and developed academic committee in universities, which, with no doubt, means the government has refreshed its understanding of academic governance in higher educational institutions and expects that academic committee plays a better role in the governance of universities by examining and approving their academic affairs. However, due to the reasons including the imperfect law and regulation relating to the construction of academic committee, arbitrary pressure from political power, and the unbalance between administrative intervention and academic rights, the development of academic freedom and the professor-manage-school tradition is facing many barriers. Hence, the future of academic committee is not optimistic.Therefore, strengthening studies on the internal governance organizations of Japan’s national universities is beneficial for us to learn from the experience of the internal governance in Japan’s national universities critically. It is of great theoretical and practical value especially when the current situation of academic governance in the internal governance of China’s higher educational institutions is in dilemma.The internal governance organizations of Japan’s national universities experienced four stages of embryo, development, weakening and reformation, eventually formed a stable governance model of modern universities. Based on the detailed analysis of education and research council and faculty meeting’s current situation, combined with the case analysis of Tokyo University and Nagoya University, This paper tried to achieve a better understanding of the internal governance organizations(IGOs) of Japan’s national universities. In the meantime it summed up the IGOs of Japan’s national universities have four kinds of superiorities as clarity of legal status, openness and transparency of collective leadership, comprehensive of crew member distribution, and specification of operating procedures. Despite also accompanied by lots of problems. Finally, for the construction and improvement of Chinese academic committees, this paper proposed five critical conclusions of polishing the relevant law and regulation of academic committee, promoting the status of academic power, clarifying the responsibilities and rights of academic committee, preventing the academic corruption, and ensure the comprehensiveness of people’s distribution.
