The private university of America is a model of the world in the field of higher education,because of the scientific governance model,the private university of America can have this kind of achievement.University governance refers to the structure and process of authoritative decision making concerning issues that are significant for external as well as internal stakeholders within a university.The external stakeholder including the federal government?state government?the market and society.and the internal stakeholders including the board of directors,who can contact the university to the external stakeholder,the principal,who is the lead of administration system and the professors,who command the academic.it proves that the board of directors,President and professor are three important elements in the governance of private universities.the system of board of directors make university autonomy work.The principal make the university work in a normal way,the faculty government shows the academic freedom of the university.Through the study of the three elements,we can get some Constructive Suggestions and countermeasures to our private university.The problem of private university in China has two aspects,one is for the external factors,the other one is for internal factors.the external factors mean social environment,for example,the law about the private university is not perfect,and the government almost has no financial support to the private university.As for the internal factors,it mainly including four aspects: the first one is,lack adequate experiences in managing;the second one is,it has homogeneity serious in private university,and it has no their own characteristic;the third one is,the quality of the teachers is weak,and the private university can not protect teacher's rights and interests;the fourth one is,poor reputation and unfair competition.By the study on private university governance model in America,we can get some enlightenments as fellow.First of all,we need to build a perfect law system and create a fair competition environment to private university;secondly,private university needs to build a diversified financing channels,meanwhile,the government needs to give some financing aid to private university;moreover,the private university have to find the correct position and form core competence;finally,the private of university have to protect teacher's rights and interests,the teacher focus on the teaching and the president focus on the manage.
