Research Of AL's Financial Problem Of Merger And Acquisition Of UC Company

Currently,with the growth of China's socialist economic system,there are more and larger companies in all industries.Especially,the competition between internet industries is much more fierce.As an internet company,one needs to have a strong presence to survive.Financially speaking,merger and acquiring is one important way to improve strength.For example,at 6.11 2014,Al company acquired UC company with a deal valued at almost $5 billion.It was considered as the largest merger and acquiring case in the history of China's internet industry.With the foundation of other academic researches,this paper aims to thoroughly analyze the financial problem of the M&A between AL and UC.It introduces a summary of both companies and revivifies this M&A process.By the use of motivation(driver)analysis,this paper analyzes the possible financial problem occurs in this process and the performance after the M&A.This M&A case is considered to be relatively successful.Hence,it may be a guiding plate for the M&A operation of other internet companies.In the logical order of problem identifying,considering and controlling,this paper analyzes the reason of occurrence of financial problems and performance after the M&A in the view of AL company.This paper is mainly categorized in 5 parts.First.It describes the background,goal and significance of this research.it arranges relative academic papers and introduces the thinking and basic frame of this research.Second,it theoretically demonstrates the categorization of financial problem,and theories used in the analysis of motivation and performance in this M&A.Third,it carefully reveals the M&A case by the introduction of company and detailed M&A process.Fourth,using relative theories,it argues the motivation behind this M&A.Then this paper analyzes the possible financial problems in this M&A.It mainly focuses on the rationality of UC's financial index and the financial ability of AL.Lastly,according to financial data,it analyzes the performance of AL after this M&A,which proved to be successful.Fifth,this paper offers suggestions and summary.By the given arguments,it provides the thinking and philosophy behind this M&A.According to the methods referred,along the process of this M&A,the paper studies a couple of primary financial problems in order.It proves the rationality of the theory and the functionality of the method by case researches.On the basis ofdomestic and abroad M&A theories,the paper shows that financial problem is the core of M&A.To succeed in M&A,It is essential to analyze and solve financial problem reasonably and correctly.
