With the global market competition and international trade protectionism intensifies,as well as the domestic demand weakens and the raw material price rises unceasingly,Chinese enterprises face serious status day by day.More and more Chinese enterprises are taking advantage of cross border mergers and acquisitions to obtain technology,management,foreign sales network,to reduce the impact of trade barriers,access to new competitiveness.However,the merger is the first step in the Long March,the post merger integration affect the success of mergers and acquisitions.Supply chain integration,as an important part of the integration,has a direct impact on the overall integration and performance.This thesis aims at the research on the supply chain integration after the world's leading tire company R merged the world's fifth leading P tire companies in the world.First of all,to collate the theory from the sort of supply chain,mergers and acquisitions and the supply chain,the integrated use of investigation and SWOT tools for R company before the acquisition of supply chain integration problems and difficulties,the risk analysis,we come to the conclusion that R company lack of professional team in the supply chain,extensive management.The supply chain function of dispersion,lack of demand and inventory management,low integration problems and information sharing system,pointed out that the risk management culture and integration difficulties exist in the process of supply chain integration in ideology,management operation,information technology,human resources support and four aspects of the conflict,talent loss,loss of resources etc..Next,using the Kraljic matrix and other tools to design the R Company's supply chain integration program.This thesis focuses on how to integrate R enterprises into the supply chain management of P enterprises.The integration of supply chain of R company is divided into internal and external integration,from the beginning of the internal enterprise culture integration,human resource integration,information system integration and procurement process integration,eliminate information barriers,straighten out the process,optimize the allocation of resources,improve internal operational efficiency and performance,but also provide a basis for external the integration of the supply chain.The external integration of supply chain is divided into supplier and customer integration.Supplier integration is discussed from the procurement mission and strategic suppliers,resource integration,supplier cost management,supplier relationship management four aspects;customer integration is discussed from the aspects of improving the ability and level of customer service.Finally,the effect of applying the balanced scorecard from customer service,business process,financial value and future development of the four angles of the supply chain integration of quantitative evaluation and analysis,and the effect of long-term trends.A lot of research about the enterprise supply chain integration theory in the domestic and abroad,but the lack of domestic research on Integration after the merger and acquisition of the supply chain,for the state-owned enterprises to participate in international mergers and acquisitions,the reorganization of supply chain case research.This is the real case of mergers and acquisitions of foreign industry leading enterprises in the domestic R company after the reorganization of supply chain as the research object,based on theoretical study and analysis of supply chain of R company's problems,difficulties and risks,and explored and summarized the integration scheme,the preliminary evaluation of the effects of supply chain integration on enterprise performance.With the improvement of the competitiveness of Chinese enterprises,more and more enterprises will participate in more international mergers and acquisitions.I hope this thesis will be able to go out to participate in mergers and acquisitions of enterprises to provide some reference to offer some reference to domestic enterprises.
