Since the Third Plenary Session of the 18 th CPC Central Committee,the reform of state-owned enterprises has been further deepened,and the implementation of professional managers system in state-owned enterprises has become a key task in deepening the reform of state-owned enterprises.Shandong province has a large scale of state-owned assets.The assets scale,quality and efficiency of state-owned enterprises in Shandong are in the first rank of China.In recent years,according to the requirements of the central government,Shandong Province has promulgated a series of important systems in the reform of state-owned enterprises.The governance structure of state-owned enterprises has been constantly improved,the degree of marketization has been gradually improved,and the operating efficiency has been significantly improved.In order to implement the professional manager system in Shandong provincial enterprises,the Government has chosen the contractual management of managerial members as the starting point of reform.This paper adopts the analysis method of investigation and literature research,defines the concept and characteristics of professional managers,puts forward the criteria for the identification of professional managers in state-owned enterprises,that is,market-oriented selection,contractual management,differentiated pay and market-oriented withdrawal.This paper combs the relevant theories of professional manager system,including institutional change theory,modern enterprise theory,broker theory and human capital theory.This paper focuses on the case analysis of the implementation of professional manager system in Shandong provincial enterprises,introduces the main practices of Shandong provincial enterprises,summarizes the achievements of implementing professional manager system in Shandong provincial enterprises from the perspectives of enterprise management and operating efficiency.Through investigation,research and data analysis,this paper points out the problems existing in the implementation of professional manager system in Shandong provincial enterprises.First,the market-oriented withdrawal mechanism of managerial members is not complete,second,the salary management is not standardized,third,the proportion of internal appointment of managerial members is high,fourth,the degree of marketization of some enterprises is low.This paper analyzes the internal and external causes of these problems.The internal reasons include unreasonable property rights system of enterprises,the imperfection of modern corporate governance,market-oriented training,performance evaluation,salary management and othermechanisms.The main external reasons are the unclear qualifications of professional managers,the backward development of professional managers 'market,and the non-standard evaluation system of professional managers' socialization.Finally,the paper draws a conclusion that the managerial members who implement contractual management in enterprises affiliated to Shandong Province are not real professional managers.After the case analysis,this paper analyzes the professional manager system in Germany and Singapore,and compares it with the professional manager system in China's state-owned enterprises,sorts out the practice of implementing the professional manager system in the state-owned enterprises of central enterprises and other provinces and cities,and compares it with the relevant situation of enterprises affiliated to Shandong Province.Through comparison,sums up the experience and inspiration that Shandong provincial enterprises should learn from.First,continuously improve the corporate governance structure of Shandong provincial enterprises.Second,improve the assessment and encouragement,so that professional managers can reflect the characteristics of marketization.Third,continuously improve the strategic management capability of the board.Through case analysis and comparative analysis,this paper puts forward some countermeasures and suggestions for the implementation of professional manager system in Shandong provincial enterprises.Generally speaking,Shandong provincial government should grasp the principles of reform,including problem-oriented,classified promotion and active pilot,to ensure the smooth implementation of the system of professional managers in Shandong provincial enterprises,to avoid fluctuations.In view of the problems existing in the implementation of the professional manager system in enterprises affiliated to Shandong Province,the paper puts forward suggestions for its implementation from two levels.At the level of enterprises in Shandong Province,carry out the reform of property rights,improve the corporate governance structure,improve internal training mechanism for professional managers,perfect professional manager assessment system,establish incentive and restraint mechanism for professional managers.On the social level,enrich the standards of professional managers.Fourth,strengthen the construction of professional manager market.improve the external training system of professional managers.improve the professional qualification evaluation of professional managers.
