Since 20th century, with waves of enterprise acquisition in world's economy and the painful lessons of its failures, people have universally realized the risk of acquisition. As for the cause of the failure, people haven't reached unanimous agreement, but one thing is agreed that the integration after incorporation is not only the key of success, but also the work much more complex and difficult than acquisition itself. American McKinsey Consulting Firm, Morsa Managing and Consulting Company as well as other research results indicates that one of the most important reasons for the failure of acquisition is the ignorance of the cultural difference between merged enterprises, the failure of properly resolving cultural clashes and the lack of efficient cultural integration. Practices prove that enterprise acquisition and merging is a significant approach to efficiently accumulating capital, occupying resources and expanding market for enterprises. However, enterprise acquisition is also full of various risks, and the failure rate is more than 50%. There are many causes for the failure, and cultural integration is a most important one. Cultural integration plays an important part in enterprise acquisition.Based on the cleaning of research purpose and research scope, the paper's thinking is that first based on the research achievement in management, economics especially the theory of acquisition and merging, poses cultural integration oriented toward construction and cultivation of core competitiveness, then explain the relation between cultural integration and enterprise competitiveness and the competitive edge for markets, At last,the paper come to a complete analyse framework of acquisition and integration.In light of the reasons above, based on the research achievement in management, economics especially the theory of acquisition and merging, by applying the method of qualitative and quantitative analysis, this thesis insists on the unification of theory and practice, of standardization and positivism to make detailed expound of many problems of cultural integration in enterprise acquisition, such as motivation, content, steps, mode, approach, principle and son on. Specifically speaking, the thesis has made some research on the points as follows:(1)It systematically sorts out and reviews for the first time the relevant literatures home and abroad on cultural integration in the course of enterprise acquisition.(2)It makes a theoretic definition to enterprise acquisition and the connotation of enterprise culture and points out the dual properties of acquisitioned enterprises, which provides possibility for cultural integration. (3)It researches the cultural clashes in enterprise acquistition, It indicates that one of the most important reasons for the failure of acquisition is the ignorance of the cultural integration through analyse the reasons and content of cultural clashes in enterprise aciquisition.(4)It constructively poses a new thinking frame, "cultural integration oriented toward construction and cultivation of core competitiveness", and puts forward a transmission mechanism,"enterprise acquisition→cultural integration→ promotion of enterprises cultural quality → promotion of enterprises" core competitiveness. Practices prove that cultural integration is one of the most importance in success or fail of enterprise acquisition. The paper clears the relation between core competitiveness and cultural integration.(5)How to conduct cultural integration in enterprise acquisition? It makes valuable exploration on the methods and emphasizes on winning "the three battles."
