With the development of economic globalization, China is stepping gradually into the knowledge economy from the industrial economy. The knowledge economy is characterized by production, distribution and utilization of the knowledge and information. The appearing of knowledge economy has two premises: one is that knowledge capitalization and commercialization have become common social phenomena; the other is industrialization, which guarantees the realization of human capital value. Unlike the agricultural economy and the industrial economy, which are based on natural resources and capital value respectively, the knowledge economy is supported by human capital.In essence, knowledge economy is the result of the interactions among human capital, material capital and institutional capital. Human capital and material capital embody the productivity, while institutional capital represents the relations of social production. Human capital is the most active and revolutionary factor, which always determines the functions of material capital and institutional capital. In addition, human capital is also regarded as a catalyst that promotes the creation of new industries. The history of world modernization indicates that the human capital is key to the latter-development advantage. At the same time, human capital management plays an important role in achieving business competitive advantages. With the transfer of the enterprises' focus, human capital management, taking the place of monetary capital management, will be paid more attention to.Based on the above, the paper aims at conceiving a systematic model to unfold the internal mechanism of human capital management, with viewing the formation, investment, assignment and motivation of human capital as a whole. Also discussed are the risks involved.The contents of the paper are as follows.Chapter 1 is the introduction, which mainly introduces the research background of the paper, draws up the analysis frame, and puts forth the way of thinking and the research innovation.Chapter 2 is about the category definitions of human capital management in enterprises.
