Transferring of agricultural surplus-labor is a problem must be solved during the process of modernization in china. The western classical theory such as W A Lewis' theory and Todaro model can not explain all the phenomenon in this field during the process of modernization in china because of the peculiarity condition in china. Rural non-agricultural industries such as town and township enterprises play an important part in the process of transferring of agricultural surplus-labor in china. The degree of non-agriculture in rural area, the transferring of labor from traditional agriculture to non-agricultural ones, has not been studied fully yet. Especially in recent years, because of the increase of urban laid-off, the enhancing of employable pressure, the insufficiencies of urban job-offer and the decrease of the gradient of labor-transferring between town and country, how can the rural non-agricultural enterprises take in more agricultural surplus-labor is one of the problems which can be solved only by going step further to study the mechanism of the transferring among different industries of agricultural surplus-labor. Based on the analysis of macroscopic economic reason of transferring ofagricultural surplus-labor among industries, a model which can explain the economic action of transferring of agricultural labor among industries is put forward, and according to which a dynamic model is set up to simulate the transferring of agricultural surplus-labor among industries. Thus, we can get a further understanding of the mechanism of transferring of agricultural surplus-labor.Seeing that the rural social economic system which should be concerned to study the transferring of agricultural surplus-labor is a huge system, either the qualitative and static method or a singular model which has too many dements and relations is difficult to get around. The dynamic model of transferring of agricultural labor among rural industries is set up and the method, which adopts the model of gray cluster with fixed weights, is put forward to analysis the degree of reasonable structure of rural employment.The mechanism and dynamic model of transferring of transferring of agricultural labor among industries and the method of gray clusters with fixed weights which have been put forward in the paper have been applied to study the transferring of agricultural surplus-labor in Henan, and after quantities simulation, we have acquainted the changing tendency of transferring of agricultural surplus-labor among industries in Henan and could providetheory foundation for the authority to formulate various of rural industrial policies. On the ground of simulation, we find that if we want to develop the role of taking in agricultural surplus-labor of present rural non-agricultural industries, we should emphasize excessively neither on rural industry nor on rural the 3rd industries, and there must be a proportion between them to make them develop coordinately. Furthermore, the invest proportion between agriculture and non-agriculture should be proper, which is probably 1:1.5-2.5 in Henan. Finally, the effect of industrializing of rural population will be attained successfully if it cooperated with the rural enterprise structure adjustment and could be supported with fund.
