Because of China's economy system reform and entering WTO etc., the Survey and Design industry has experienced tremendous changes. As the competition is getting more vigorously day by day, the existing Survey and Design institutes all need to change their institutional management system and transform themselves into modern enterprises with clear capital ownership, rational stock share allocation, separated government administration and business management, as well as modern management system. According to the international custom, the Survey and Design industry belongs to the project consulting industry and provides intellectual products. In Survey and Design enterprises, the Human capital is far more important than the material capital in enterprise's operation and development, and is the most important elements of productivity. However, the capital ownership has some unique characteristics -- it is inseparable from the Human itself and it is uncertain and unstable.For the Survey and Design enterprises to maintain competitiveness, it is extremely important to make maximum use of its Human capitals by exciting human's enthusiasm and creativity. This requires the enterprise to establish a system which encourages competitions between their employees. No matter in the views of making the best use of the capital or encouraging the competition, it requires the enterprise to allocate the enterprise surplus according to the value of the Human capital. When the Survey and Design institute is going through the transformation from research institute to enterprise, it needs to take fully into account the importance of Human capital and accurately price its value to allocate thestock shares.As early as in 20th century 60's, the Nobel economic prize winner, American economist Schultz already explicitly proposed the Human capital theory, which is now one extremely popular research area in the economics. Since Human is also a form of capital, it should possess the characteristic -- it may rise in value and can be measured. This characteristic requires us to have a certain procedure or model to accurately carry on the Human capital value. Because Human capital differs from material capital, appraising its value is extremely difficult. Many economic scholars have already conducted effective research, and have proposed various pricing theories and methods. Overall, these theories and methods mainly use the Human capital investment cost and the future investment return in the appraisal. These methods and the model attempts to directly appraise the Human capital using currency form. They are very subjective and make a lot of assumptions which make them relatively difficult to be utilized under the current Chinese economic system.This article starts from the development of Human capital theory, details in the characteristics of Human capital, shows the possibility and necessity of Human capital pricing. By analyzing the existing Human capital pricing methods, based on the actual situation that the Survey and Design institutes are going through a system transformation, this article proposes a way to indirectly pricing the Human capital, as well as a model based on human's capability. This model tends to think that the redistribution of enterprise's stock reflect the enterprise regarding the prise of different Human capitals. It takes into account not only the Human capital investment cost, but also the Human capital's contribution to the enterprise. Although it is also subjective to some degree, it is fairly practical and can accurately pricing the Human capital value of a specific institute. The Survey and Design institutes in our country are currently going through a system transformation. Based on this situation, the first inovative idea of this article is to indirectly pricing the Human capital by calculating the stockshare's distribution coefficient.
