With China enter the WTO, there are a great opportunity and challenge for China's private company. But, based upon so many reasons, the pace of setting up modern enterprise system for China's private company is slowly. As the one of most important factors of organization development, Human Resource Management (HRM) more and more is focused by many companies. Compensation system, as the key part of HRM, provides the important affection to the strategy of HRM. It is significance for China's private company which face the second development period to set up a compensation system which according to the strategy of company. Based on the reason, through the analysis and redesign the compensation system of typical China's private company- IN Corporation according to the strategy of company, the dissertation provides the reference of setting up the compensation system which according to the strategy of company to the development of China's private company. Using the theory of compensation, motivation and strategy, and combining to the practice of the author, the thesis analyzes the external and internal environment of IN Corporation, and redesigns the compensation system, according to the new development strategy. In the first part of the dissertation, it analyzes the theory of compensation and motivation, and gives the detail discusses to the procedure of setting up the compensation system. And then through the analysis the original compensation system of IN Corporation, the thesis finds the shortcoming of the original system, and provides the idea of solving the problem. Based on the premise of analyzing the original compensation system, and using the theory of compensation, management, through the orientation of strategy of company, the dissertation designs the new compensation system which attaches to the strategy. The dissertation also analyzes the result and environment of the new compensation system.
