Semi-commonweal Water Conservancy Projects have both the characteristics of public welfare and profit winning. The profits brought by the projects can attract the non-government capital through TOT project financing, which will provide a new solution for the present Water Conservancy works. As the public finance is limited at present, the TOT method can make full use of the non-government capital to ease the shortage of construction capital. In the meanwhile, it could improve the management of the projects while lightening the burden for the government.Based on the analysis of the characteristics of Semi-commonweal Water Conservancy Project and also the related theories of TOT financing, this paper expounds the feasibility of conducting TOT financing in Semi-commonweal Water Conservancy Project to partly solve the shortage of irrigation investment. It also analyzes the risks caused by TOT methods and their solutions through the aspect of the government. And it will demonstrate how to evaluate and reduce risks through Monte-Carlo with a case study.This paper also study on key item of contract and how to arrange risk be arranged between members who is concerned with the project. The paper continue to study on How to deal with the conflict between different project objectives, problem about government buy back the project and license term. On the basis of the analysis on the problem above with the related theories and methods, the paper makes suggestion of contract items and parameters. Finally, based on primary contract items, through the research of factors in management right appraisal, the paper provides the model of the management right appraisal.
