In the research and practice of organizational learning, there is an important issue-knowledge's externality. In the process of organizational learning which is including acquiring, spreading, storing, using knowledge and innovation, the individual's actively participating in organizational learning can make the new knowledge produced and the value of knowledge achieved. Knowledge's externality promotes the knowledge production consummate and the knowledge value extended. While the externality has the negative effect, as the knowledge owner's marginal income is lower than the organizational marginal income. In addition, because of the asymmetry information between organization and individual, the individual's behaviour in participating in organizational learning is difficultly supervised. So the issue of organizational learning incentive is brought forward. In the era of knowledge economy, knowledge is more and more useful in enhancing the national competition and economy. In the background, the research of organizational learning incentive becomes one of the focuses for theory and practice. So this paper tries to discuss incentive mechanism of organization to individual's participating in organizational learning under the circumstance of asymmetry information by principal-agent theory.Based on the theory of organizational learning, (l)the paper uses the game theory to analyse the relations and the behaviour of individuals, and sets up an organizational learning incentive mechanism, which is including the explicit incentive mechanism based on reward and the implicit incentive mechanism based on occupational ideas;(2)designs the optimum explicit incentive contract, which is formed by optimum performance wage rate, optimum gap among individual and the fixed salary;(3)analyses the need of the implicit incentive mechanism, designs the mechanism and proves that it is the important complementarity of the explicit one for reducing the cost;(4)studies the relationship among organizational learning, reward management, performance management and professionalization management, and from the angle of incenting organizational learning, the paper makes suggestions about stipulating for human resources management system.
