In the context of global integration, extreme competition and accelerating innovation, corporate university, whose position is soul, lecturer is body and curriculum is foundation, has become a tool of strategic resource integration, a means of enterprise transformation and cultural revolution, a channel of building learning organization and a clear-cut flag of showing business scale and strength. As the highest form of training and a special form of higher adult education, corporate university not only enriches and expands the connotation and extension higher education itself, but also singularizes the diversification of higher education institutions. At the same time, a revolution in business education and training are sweeping across the world.This paper is problem-oriented, and takes the current situation of Chinese corporate universities as a starting point. On the base of typical case study, the paper carries out an in-depth analysis of the local corporate universities from three levels: orientation, courses and lecturers, and tentatively put forward corresponding countermeasures.The first part of this paper begins from an opening introduction which consists of research background, research summarize, research goals, methods and innovations, defining the concept of corporate university, as well as the review of related theories including ethical issues. The second part is the foundation of this research. The second part is the theoretical basis of this research, the paper builds a complete theoretical framework for the study from four sides---the ethical issues, resource based theory, dynamic capability theory and knowledge management , and studies the internal logic aspects between the development of corporate universities and the four systematic theory.The third part is the main body of the paper. The author regards the typical case study as the foundation, and the three classic management theories, KM, DPC and RBV, as criterion. From three angles: strategy, customer and existence form, the paper tries to explore the positioning problems and solutions of Chinese corporate universities; from andragogy theory, curriculum development and course structure, the paper makes analysis of the curriculum problems and solutions; from the imbalance between internal and external lecturers, the lecturers selection and the lecturer-criteria, the paper works over the lecturer problems and solutions. The forth part is case study. Think about the development of JAC University, the paper carries out a field research from three sides: orientation, courses and lecturers.The last part is conclusion, the study sums up the discovers of research, lack of research and prospects of research.
