Independent Colleges are the special products developed following higher education development in the special situation and background of China. The birth and development of Independent Colleges are the total innovation in investment, property rights and system. The investment by the Public Universities and other investing organizations forms the model of the multi-property rights and decide the managing system. There are some problems in Independent Colleges. The juristic status of Independent Colleges is ambiguous. The dividing of property rights is inequity. The property rights and managerial authority are not divided. The structure of Governing Board system is inconsequence etc. The reasons inducing these problems are delaying in research of juristic status and property rights, lacking of juristic criterion and policy, existing in the great difference of intention in running school and lacking balance between the Public Universities and other investing organizations.The thesis studies the main methods of improving managing system. To intensify the managing system of Independent Colleges, they are must be done as follows. Firstly the juristic status must be made certain. The juristic status of Independent Colleges influences the managing structure, behavior manner and manner of taking responsibility. The juristic status is the basis of solving property rights and deciding the managing system. Secondly the system of property rights must be established. The property rights of Independent Colleges are the combination of the Public Universities and investing organizations. The property rights must be measured off. The responsibility, the power and the benefit must be measured off and reasonable. The property and the power management must be separated. The property system must be set up to form a logical and balanceable structure. It is still to need using for reference of good Governing Board system of the Universities in advanced countries, establish balanceable structure in the Governing Board, measure of the power between the Governing Board and president so as to realize president's responsibility system under the guidance of the Governing Board.The Supervising Board is must be established. The superintendence and guidance by the Public Universities and the superintendence and being master of the Governing Department must be taken. Through by the work, the reasonable and balanced structures of Independent Colleges can be formed. It can avoid the risk of running the school, keep the correct direction and satisfy the need of society.
