Since the performing of open and reform policy, with the development of the economics and sciences, our country enters into the time of knowledge. After our entering into the WTO, the competitions become more fiercely in every social aspect, and so do the universities. The key point of competitions is human, and for universities are teachers. Xiaoping Deng once said, "It is the teachers which can be decide whether a school has the ability to teach the right person for our society." The responsibility for university teachers is to teach the students, to make them become the right person for our socialism construction. Teachers are the most important and essential key factor for the university management. Teachers can decide the result the competitions between the high schools. And the key point to construct an excellent teacher team is the incentive mechanism of the university. So to build an incentive mechanism which is scientifically reasonable and effective is relatively important to motivate the enthusiasm and go-aheadism of teachers, to boost the reputation of the university and to be in the green tree of the competition in the internal management innovation of a university.This paper analyses the incentive mechanism of university teacher in an overall and systematical way.Firstly, it elaborates the incentive theories, including some content mode incentive theories, such as Maslow's need level theory, ERG theory of Alderfer, dual factors theory of Herzberg; some process mode incentive theories, such as expectation theory, fair theory, establishing goal theory; some behavior correcting mode theories, such as reinforcement theory, result belonging to reason theory. Also it introduces the important function of incentive mechanism in the management of university teachers, which is to motivate the enthusiasm and creativity of teachers and to attract and keep the good teachers.Secondly, the paper analyses the characters of the university teachers, such as the needs of the teachers, the characteristic of the teachers working and the personality character of the teachers.Thirdly, the paper analyses the present situation of China's incentive system of university teacher. It also points out its achievement and the existing problems. We have built our own incentive system of university teacher which is being proved step by step. But there are several limitations lies in it, including lacking of reasonable salary and reward system, lacking of a scientific examination for the outstanding achievement of teachers.Then, the paper introduces the USA's university teacher incentive system, and it points out its advantages that we can learn form.Finally, it raises the general thoughts and rules in establishing a good incentive mechanism of university teachers. The basic principles of build an incentive system for university teachers should follow are: people oriented and equity principle, substance inspiration mix with inspirit inspiration principle and following both the school need and the teachers need principle. The building of the incentive system of university teachers consists of the construct of the incentive model and the countermeasure to perfect the system. The methods to building the incentive system of university teacher mention are discussed in this paper.
