With China's entry into WTO and the rapid process of globalization,the management of human capital is more and more important in the enterprise management. Human capital has become not only rare resources for the development of economy and society, but also key Valuable resources for an enterprise to gain increment and sustainable development .Superior human capital is a prime condition for an enterprise to gain sustainable competence, the most important thing in the management of human capital is set an effective incentive to the elements of human capital through incentive. It make the general-capital-oriented enterprise shift to human-capital-oriented,and make the enterprise shift general competence to sustainable competence, it is necessary to adopt the incentive mechanism of human capital in order to increase the core competence of enterprise.The paper goes on analyzing and discussing from four section about enterprise human capital incentive mechanism.At first, the paper explains the importance of enterprise human capital and studies the theory of the human capital and incentive. Human capital is different from human resources, at the same time focus on technology innovator and professional manager. Based on these analysis, We survey the incentive element of the human capital .The second, we integrate these incentive element ,to create omnibearing model, to formulate a series of quota system about human capital. The third, we put forward the principle on incentive mechanism of human capital deal with the quota system by AHP, try to formulate appropriate tactics.
