Among the Chinese and foreign joint enterprises, about 15 percent have failed their performance earlier than the time period they are expected. The most important reason for this fact is that the cultural difference has caused the instability in the enterprises. There exists huge difference in social regime, artery culture, ideology and economic developing level between China and America. So the Sino-American cultural clash is typical and representative.This paper reviews the research achievement all over the world in the area of corporate culture comparative research, summarizes the actuality of the domestic and oversea Sino-American corporate culture research, and finds out that the research on Sino-American corporate culture is less and not systematic. There are more studies on the Sino-American corporate culture phenomena than those on the cultural factors inside the phenomena. Based on the findings, the paper first introduces the mainstay genres and thoughts, the concept and structure of corporate culture, the types of corporate culture, and the factors affecting corporate culture. Then it illustrates the influence of national culture on corporate culture, and presents the theory on cross-cultural management and the theory on corporate culture conformity. After that, it compares national culture and corporate culture between China and America, finds out the difference between them, and points out the exhibition in enterprise management caused by corporate culture difference. According to certain integrating principles, integrating methods and integrating process, the models of Sino-American corporate culture conformity are established.In the case demonstration part, the actuality of corporate culture conformity in Fawer-Johnson Company is diagnosed. According to the models of sino-US corporate culture conformity, the problems existing in the process of corporate culture conformity are pointed out, and the improving measures are proposed.
