| During the fifth M&A waves, high-tech enterprises M&A becomes the focus. High-tech enterprises M&A can accelerate advantages mending between two corporations, reduce time for training talents and developing new technology, generate coordination effect in technology and upgrade enterprises' core technology competence quickly. Therefore, high-tech enterprises M&A has become a useful tool for enterprises' growing up in the age of evolution between technology and enterprises. Starting from the point of low probability of M&A successes, this thesis makes a study on the factors affected the integration comprehensive in the core technology competence perspective.This thesis firstly makes a full review of M&A theory, integration and the existed problems. Secondly, it proposes the task of study on high-tech enterprises M&A based on core technology competence and points out the value creation of high-tech enterprises M&A resting with the advantages mending between two corporations according to the logical relation between the core technology competence and high-tech enterprises M&A. After that, it makes a concrete analysis of the factor affected the upgrade and consolidating of the enterprises' core technology competence. On the basis of the analysis, this thesis points out that there are close relations among the motivation, the deep-seated value creation mechanism and the maturity of integration about high-tech enterprises M&A. Thirdly, it puts forward three kinds of integrating model and systemic integration frame according to the diversity of two companies about techno-elements. The end of this thesis is a case study of BOE high-tech group about its merger activities, which proves the conclusion guiding meaning.With this thesis, I have attempted to bring the M&A context to the research's attention. I believe this is an important topic for this field and hope other research will begin developing new theories regarding performance of the postmerger integration. |
