The theory of top management team(TMT) is to study all the top managers , not a single manager's behvior, from the angle of team. This paper catches hold of the study angle of TMT. First, this article expounds recent and current study on TMT concept and relative theory. On the basis of using the study results on ordinary TMT these years for correference, this paper makes a thorough analysis on characteristics, composition, environment, process and other elements of TMT in high technological enterprises. To go a deeper study on TMT in hi-tech enterprises, especially the hi-tech enterprises in our country, this paper then prefers a complete performance measurement and motivation mechanism system of TMT in hi-tech enterprises. In the study of performance measurement, this article points out innovatively there are two measurement levels-the members and the team-on TMT performance measurement. On this basis, the paper designs a specific and detailed performace measurement system and some performace measurement ways. In the study of motivation mechanism, the paper touches the macroscopic mechanism and microscopic means, and takes the microscopic motivation means as the study emphasis. So , this paper analizes many kinds of inspiration ways including their utilization and their advantages, their disadvantages.
