The protection of water resources has been a problem to the sustainable economic and social development. The pollution and shortage of water has been serious day by day, and become the main constraints of the sustainable economic and social development. Wenzhou is a moderately dry area. More or less, the water has been polluted in the river. As the large water tank of Wenzhou people, the water quality of Shanxi Water Conservancy Project has taken on a downward trend, by the pollution of agriculture and domestic sewage. Without enough protection, it's most likely that the water there couldn't meet the drinking water standards. In such circumstance, it has become an urgent problem to be resolved that how to control the sources of pollution, how to protect the water, and how to maintain the long-term supply of water. It not only related to the sustainable economic and social development of Wenzhou, but also has a certain degree of inspiration to the protection of concentrated sources of water supply in other parts of the country.Based on the theory of public goods, external effects, property rights, transaction costs and the ecological compensation related literature, with the tools of government regulation, water rate and metastatic payments, and with the methods of quantitative and qualitative analysis, this paper analyses and estimates the current situation of the water quality and protection of Shanxi river. After that, through institutional arrangements designed to explore ways to protect the people of Wenzhou "tanks", proposed the establishment of Shanxi Project ecological compensation mechanism proposals, the promotion of Wenzhou City efficient allocation of water resources and sustainable use of the important theoretical and practical significance.
