The private enterprises have become the booster and new point of China's economic development. At the same time, with increased market competition and the further development of management and responsible stakeholders theory, management mode is undergoing profound changes. Compared to other kind of management mode,the management mode of private enterprises has broader target and more concern of our economic and the heart of stakeholders.The paper starts with conceptions by discriminating and defining the meaning of management mode and management mode and some related terms, and studies the research status in China and abroad. It is lack of the theoretical research results of management mode. Even some studies are out of context and partial, which is insufficient to help guide the healthy and sustained development of our private enterprises. On this basis, the author proposes an assumption on building a comprehensive management mode suited to Chinese situation and stakeholders'condition.Secondly, the author analyses present status of management mode. Consist and challenge and disadvantage of management mode. At the mean time, the author also analyses the common between diffident management mode in different countries. So, we can improve private enterprises'management mode by its dimensions, when we are designing and improving its management mode. Therefore, it is very necessary to improvement our management mode by the consist of management mode when we design our private company management mode.Thirdly, combining the former assumption with disadvantage of management mode, the theoretical basis is studied. The author analyses all the stakeholders during the marketing process and designs the stakeholders map in private company's management.On the basis of the above theoretical study and practice analysis, according to the system design principles and conditions, the author builds a relatively complete humanization management mode based on the stakeholders in company's management activities and describes incentive and share mechanics of stakeholders in Humanization Management mode.In conclusion, the author views the direction of international private enterprises and Chinese international cooperation, and makes a conclusion on the management mode built in this study.
