In recent years,more and more cases of Chinese enterprises' oversea mergers and acquisitions has aroused the concern of many people both at home and abroad. Some were successful, the other were not. Of course, there are many reasons caused to failure, but culture is the most fundamental conflict. This article is based on this reality, trying to learn from the disciplines of enterprise culture perspective to mergers and acquisitions of overseas Chinese enterprises for the discussion of the theme, analysis of M & A cultural integration mechanism.PartⅠ: The historical process of overseas mergers and acquisitions since China's reform and opening up. It Briefly described the specific meaning of overseas mergers and acquisitions, the basic motive and a number of ways, and then based on the world structure-changing economy background , describes and analyses the status of overseas M & A generally. This leads to "China's power" in the performance of overseas M & A, and finally focuses on from the three different stages of Chinese enterprises' oversea mergers and acquisitions since China's reform and opening up, in order to lay the foundation for the following content.PartⅡ: The main constraints of China's overseas M & A - cultural conflict. After a comprehensive analysis of main factors which impact and impede China's overseas M & A, It points out that cultural conflicts is the main constraints of overseas mergers and acquisitions for China's enterprises, which leads to the conclusion that values conflict is the focus performance of cultural conflict. And then from the world's cultural diversity, the history of China's reform and opening-up has not been long, the use of means of culture in the business operations of Chinese enterprises is not yet skilled ,the unfully use of objective countries' "brain" are analyzed. Finally, it analyzes the obvious and potential effects of cultural conflict by some typical cases.PartⅢ: Cultural integration is the only way to resolve the cultural conflict during the process of overseas mergers and acquisitions. In this section, it analyzes the reasons why we must carry out cultural integration from four aspects, it reveals f the "entry point" and "access" of cultural integration. In addition, it sets out six principles of culture integration during the process of Chinese enterprises' overseas M & A. They are: culture comes first, see from a strategically advantageous position, people-oriented, common ground while reserving differences, deep communication and gradual and orderly progress.PartⅣ: Strategies choosing of cultural integration. It firstly analyzes four models of cultural integration and their respective advantage and disadvantage. And then it points out the specific content of cultural integration which is guided by values. Finally it analyzes the general processes and specific implementation methods and strategies of cultural integration in overseas M & A .
