With the advent of knowledge-based economy and the rise of entrepreneurial tide, there will be a large number of knowledge-based start-ups. A key factor for knowledge-based companies' success is to fully develop the potential of knowledge workers. The ability to motivate staff effectively has become core competency of knowledge-based entrepreneurial enterprises.Compared with the general enterprises, entrepreneurial enterprises is lack of resources and of high-risk, high-growth and frequent changes, because of their unique life stages. Compared with the general staff, knowledge workers have following unique characters: with the diversification, strong autonomy, performance difficult to be evaluated, low loyalty. Knowledge teams also have such characters as high dynamic, non-symmetry and human nature. Therefore, employees of a knowledge-based entrepreneurial enterprise is of the intersection of the over three characteristics.This paper attempts to follow the deductive logic, normative analysis and empirical analysis. Under the guidance of incentive theory, through the analysis of knowledge-based entrepreneurial enterprises and the characteristics of knowledge-based employees, this paper strives to find and establish a staff motivation system for knowledge-based start-ups—the establishment of profit-sharing and risk-sharing model, and a psychological contract. Finally, a comparison of positive and negative experiences is conducted.
