It has become to real stage that science and research institutes run in enterprise's system from July 1, 1999.Focused on state owned mid and small-sized institutes in developing field, this article pointed out the problems of these institutes in their enterprise-style running by studying real examples and some counter-measures are given including the deciding of strategy, re-organizing of human resource and coming true of human capital, adjusting of capital structure, collecting money and operating of capital.The author affirmed: the institutes should be changed to a joint company running in the system of shareholders' meeting, directors' meeting and supervisors' meeting. The adjusting of capital should obey the principle of "the high directors owned shares being main, the managers and kernel technologists owned shares being domination, the private and other enterprises' owned shares being more than half, and the state owned shares being less than half. In order to get the human capital coming true, it is recommended that the institutes can give shares when high managers buy the shares of the institutes and give the right of getting bonus in future to kernel technologists.
